Terms of Service

These Terms of Service ("Terms") govern your access to and use of OppFlow.ai (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using OppFlow on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

OppFlow provides an AI sales workspace including inbox, pipeline, notes, renewals intelligence, reporting, Sales Plays, and the Marvin assistant. We may add, change, or remove features over time. We provide the Service on a subscription basis as described in your order or plan.

2. Accounts

• You must provide accurate information and keep your credentials secure.
• You are responsible for activity under your account and for your users' compliance with these Terms.
• You must be at least 16 and use the Service for legitimate business purposes.

3. Your content & data

You retain all rights to the content and data you submit ("Customer Data"). You grant OppFlow a limited license to host and process Customer Data solely to provide and improve the Service, as described in our Privacy Policy. You are responsible for having the rights and consents needed to sync data from connected systems.

4. Acceptable use

You agree not to:

• Break the law, infringe others' rights, or send unlawful or abusive communications through the Service.
• Reverse engineer, resell, or circumvent usage limits or security controls.
• Upload malware, or interfere with the integrity or performance of the Service.
• Use the Service to build a competing product or to train competing models.

5. AI features

Marvin and Sales Plays generate drafts and suggestions that may be inaccurate. Output is provided for your review — you are responsible for reviewing and approving any content before it is sent or acted upon. AI output is not legal, financial, or professional advice.

6. Third-party integrations

The Service integrates with third-party tools (e.g. Salesforce, HubSpot, Zoom, Gong) at your direction. Your use of those services is governed by their own terms, and we are not responsible for third-party services.

7. Fees & payment

• Paid plans are billed in advance on a per-seat basis and are non-refundable except as required by law.
• We may change pricing with notice effective at your next renewal term.
• Overdue amounts may result in suspension of the Service.

8. Term & termination

These Terms apply while you use the Service. You may cancel at any time; your subscription runs through the end of the current billing period. We may suspend or terminate access for material breach or to comply with law. On termination, you may export Customer Data for 30 days, after which it may be deleted.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

10. Limitation of liability

To the maximum extent permitted by law, OppFlow will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim will not exceed the amounts you paid for the Service in the 12 months before the claim.

11. Indemnification

You will indemnify and hold OppFlow harmless from claims arising out of your Customer Data, your use of the Service, or your breach of these Terms, to the extent permitted by law.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a revised date and, where appropriate, notified in-product. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in San Francisco, California.
